PLEASE READ THIS AGREEMENT CAREFULLY

THIS AFFILIATE PROGRAM AGREEMENT ("Agreement") IS A LEGALLY BINDING CONTRACT BETWEEN YOU ("Affiliate," "you," or "your") AND WEDDUX LLC, A WYOMING LIMITED LIABILITY COMPANY ("WEDDUX," "we," "our," or "us").

By applying for, enrolling in, or participating in the WEDDUX Affiliate Program, creating an Affiliate Account, using an Affiliate Link, referring customers to WEDDUX, or accepting any Affiliate Commission, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement, together with our:

  • Terms of Service

  • Privacy Policy

  • Affiliate Program Policies

  • Acceptable Use Policy

  • Data Processing Addendum (where applicable)

  • Brand Guidelines

  • Commission Policy

Each of these documents forms part of this Agreement and is incorporated herein by reference.

If you do not agree with any part of this Agreement, you must not participate in the WEDDUX Affiliate Program.

1. ABOUT WEDDUX

WEDDUX LLC is a technology company providing artificial intelligence (AI), customer relationship management (CRM), marketing automation, websites, funnels, communications, and business growth solutions.

The WEDDUX platform may include, without limitation:

  • CRM Software

  • AI Employees

  • AI Voice Agents

  • AI Chat Agents

  • AI Receptionists

  • Website Builder

  • Funnel Builder

  • Landing Pages

  • Online Stores

  • Calendar Booking

  • Reputation Management

  • Email Marketing

  • SMS Marketing

  • WhatsApp Automation

  • Social Media Scheduler

  • Workflow Automation

  • Pipeline Management

  • Lead Generation Tools

  • Call Tracking

  • Phone System

  • Mobile Applications

  • White Label Services

  • Marketplace Products

  • API Services

  • Integrations

  • Subscription Add-ons

  • Digital Marketing Services

  • Consulting Services

  • Education and Training

  • Future products and services offered by WEDDUX.

2. DEFINITIONS

For purposes of this Agreement, the following definitions apply.

2.1 Affiliate

An individual or legal entity approved by WEDDUX to participate in the WEDDUX Affiliate Program.

2.2 Affiliate Account

Your registered account within the WEDDUX Affiliate Portal.

2.3 Affiliate Dashboard

The online dashboard used to monitor referrals, commissions, payouts, reports, marketing materials, and account information.

2.4 Affiliate Link

The unique referral URL generated by WEDDUX that tracks customer referrals made by you.

2.5 Qualified Referral

A referral that satisfies all requirements contained in this Agreement and the Affiliate Program Policies.

2.6 Qualified Purchase

A purchase made by a Qualified Referral that:

  • originates through your Affiliate Link;

  • successfully completes payment;

  • complies with this Agreement;

  • remains active beyond the qualifying period;

  • is not fraudulent;

  • is not refunded;

  • is not cancelled during the qualification period.

2.7 Commission

The compensation paid by WEDDUX to an Affiliate for Qualified Purchases.

2.8 Commission Schedule

The current commission rates published by WEDDUX, which may be amended from time to time.

2.9 Customer

Any person or business purchasing a WEDDUX product or service.

2.10 Referral

A prospective customer introduced to WEDDUX through your Affiliate Link.

2.11 Program

The WEDDUX Affiliate Program.

2.12 Brand Assets

All WEDDUX intellectual property, including but not limited to:

  • trademarks

  • logos

  • icons

  • graphics

  • videos

  • screenshots

  • banners

  • documents

  • colour palettes

  • typography

  • illustrations

  • animations

  • slogans

  • domain names

  • software interfaces

  • trade dress

  • marketing materials

2.13 Confidential Information

Any non-public information belonging to WEDDUX, including but not limited to:

  • customer information

  • pricing

  • commissions

  • source code

  • APIs

  • software

  • databases

  • product roadmaps

  • marketing plans

  • business strategies

  • financial information

  • internal documentation

  • security information

  • employee information

2.14 Intellectual Property

All copyrights, patents, trademarks, trade secrets, software, databases, documentation, designs, content, and proprietary technology owned or licensed by WEDDUX.

2.15 Affiliate Content

Any content created by you relating to WEDDUX, including:

  • videos

  • blog articles

  • reviews

  • tutorials

  • advertisements

  • podcasts

  • webinars

  • social media posts

  • presentations

  • courses

  • graphics

  • testimonials

2.16 Marketplace Products

Any third-party or WEDDUX-developed applications, extensions, templates, integrations, or services sold through the WEDDUX Marketplace.

2.17 Subscription

Any recurring billing plan offered by WEDDUX.

2.18 Add-on Products

Additional products or services purchased separately from a Subscription.

2.19 Fraudulent Activity

Any activity intended to manipulate, inflate, deceive, or improperly generate commissions.

Examples include but are not limited to:

  • self-referrals

  • fake accounts

  • stolen payment methods

  • automated signups

  • incentivised fraud

  • click fraud

  • cookie stuffing

  • identity theft

  • false advertising

  • misleading claims

3. ENROLMENT IN THE AFFILIATE PROGRAM

Participation in the WEDDUX Affiliate Program is subject to approval by WEDDUX.

Submitting an application does not guarantee acceptance.

WEDDUX reserves the sole and absolute discretion to:

  • approve or reject any application;

  • suspend an application pending further review;

  • request additional information;

  • revoke approval at any time;

  • terminate any Affiliate Account that violates this Agreement.

Applicants may be required to provide:

  • legal name

  • business name

  • email address

  • phone number

  • website

  • social media profiles

  • country of residence

  • tax information

  • payment information

  • identity verification documents

  • any additional information reasonably requested by WEDDUX.

Providing false, misleading, incomplete, or fraudulent information is grounds for immediate rejection or termination.

4. INDEPENDENT CONTRACTOR RELATIONSHIP

Your relationship with WEDDUX is solely that of an independent contractor.

Nothing contained in this Agreement creates any:

  • partnership;

  • employment relationship;

  • agency;

  • franchise;

  • joint venture;

  • fiduciary relationship;

  • legal representative status.

You shall not:

  • represent yourself as an employee of WEDDUX;

  • bind WEDDUX to any contract;

  • negotiate on behalf of WEDDUX;

  • accept payments on behalf of WEDDUX unless expressly authorised;

  • create obligations for WEDDUX.

You are solely responsible for your own:

  • taxes;

  • insurance;

  • licences;

  • permits;

  • employees;

  • subcontractors;

  • operating expenses;

  • compliance with applicable laws.


5. AFFILIATE RESPONSIBILITIES

As a participant in the WEDDUX Affiliate Program, you agree to conduct yourself professionally, ethically, and in compliance with all applicable laws, regulations, and this Agreement.

You agree to:

  • Promote WEDDUX honestly and accurately.

  • Use only approved marketing materials provided or approved by WEDDUX.

  • Keep your Affiliate Account information current and accurate.

  • Maintain the security of your Affiliate Account credentials.

  • Comply with all applicable advertising, consumer protection, privacy, and anti-spam laws.

  • Promptly respond to any compliance requests from WEDDUX.

  • Immediately discontinue any marketing practice that WEDDUX determines is misleading or non-compliant.

You are solely responsible for all content, advertisements, websites, social media accounts, emails, videos, webinars, and promotional materials you create.

6. MARKETING GUIDELINES

Affiliates are encouraged to promote WEDDUX using ethical and transparent marketing practices.

Permitted promotional methods include, but are not limited to:

  • Personal websites

  • Business websites

  • Blogs

  • YouTube videos

  • Podcasts

  • Webinars

  • Email newsletters

  • Social media platforms

  • Educational content

  • Product reviews

  • Case studies

  • Public speaking engagements

  • Online communities where promotion is permitted

  • Paid advertising that complies with this Agreement

All promotional materials must accurately represent WEDDUX's products, pricing, and capabilities.

Affiliates must clearly disclose their affiliate relationship where required by applicable law.

7. ADVERTISING COMPLIANCE

You agree to comply with all applicable laws and regulations relating to advertising and marketing, including but not limited to:

  • Federal Trade Commission (FTC) Endorsement Guides

  • CAN-SPAM Act

  • Telephone Consumer Protection Act (TCPA)

  • General Data Protection Regulation (GDPR), where applicable

  • UK GDPR, where applicable

  • California Consumer Privacy Act (CCPA), where applicable

  • Any applicable privacy, telecommunications, advertising, or consumer protection laws in the jurisdictions where you operate.

Where required, you must clearly disclose that you may receive compensation for referrals.

8. PROHIBITED ACTIVITIES

The following activities are strictly prohibited and may result in immediate termination from the Program, forfeiture of unpaid commissions, suspension of your Affiliate Account, and legal action where appropriate.

You may not:

8.1 Misrepresent WEDDUX

You must not:

  • make false claims;

  • exaggerate product capabilities;

  • guarantee business success or income;

  • falsely represent pricing;

  • claim unavailable features;

  • impersonate WEDDUX employees;

  • imply that you are authorised to legally represent WEDDUX.

8.2 Trademark Abuse

You may not:

  • register domain names containing WEDDUX trademarks;

  • create confusingly similar social media accounts;

  • use misleading branding;

  • alter official logos without written permission;

  • imply ownership of WEDDUX trademarks.

8.3 Spam

You may not send:

  • unsolicited emails;

  • unsolicited SMS messages;

  • automated social media spam;

  • unsolicited direct messages;

  • robocalls;

  • bulk messaging in violation of applicable laws.

8.4 Fraud

Fraud includes, without limitation:

  • fake customers;

  • fake trials;

  • fake subscriptions;

  • fake businesses;

  • identity theft;

  • payment fraud;

  • chargeback schemes;

  • self-referrals;

  • referrals using your own payment methods;

  • creating multiple accounts to generate commissions;

  • referral loops;

  • bot traffic;

  • click farms;

  • cookie stuffing;

  • artificially inflating clicks or conversions.

8.5 Incentivised Referrals

Unless expressly authorised by WEDDUX, you may not offer:

  • cash rewards;

  • gift cards;

  • rebates;

  • discounts funded by your commissions;

  • sweepstakes;

  • lotteries;

  • prizes;

  • compensation solely for clicking an Affiliate Link.

8.6 Paid Search Restrictions

Unless specifically authorised in writing by WEDDUX, Affiliates may not:

  • bid on WEDDUX trademarks;

  • bid on misspellings of WEDDUX;

  • use WEDDUX in paid search display URLs;

  • impersonate official WEDDUX advertisements.

8.7 Illegal Activities

You may not use the Affiliate Program to promote:

  • illegal products;

  • fraudulent businesses;

  • deceptive practices;

  • malware;

  • phishing;

  • hate speech;

  • violence;

  • unlawful gambling;

  • unlawful financial schemes;

  • money laundering;

  • terrorist organisations;

  • sanctioned entities.

9. QUALIFIED REFERRALS

A referral shall qualify for commission only if all of the following conditions are satisfied:

  1. The customer accesses WEDDUX using your unique Affiliate Link.

  2. The customer creates a new WEDDUX account.

  3. The customer purchases a qualifying WEDDUX product or subscription.

  4. The customer's payment is successfully processed.

  5. The customer remains in good standing during the applicable qualification period.

  6. The purchase is not fraudulent.

  7. The purchase is not refunded.

  8. The customer complies with the WEDDUX Terms of Service.

  9. The referral is properly tracked by WEDDUX's systems.

WEDDUX reserves the sole discretion to determine whether a referral qualifies for commission.

10. COMMISSIONS

Affiliates may earn commissions for Qualified Purchases in accordance with the current WEDDUX Commission Schedule.

Commission rates may vary by:

  • subscription plan;

  • marketplace product;

  • add-on service;

  • promotional campaign;

  • geographical region;

  • special incentive programme;

  • affiliate tier.

Unless otherwise stated in writing, commissions apply only to eligible products designated by WEDDUX.

10.1 Commission Changes

WEDDUX reserves the right to:

  • change commission rates;

  • introduce new commission tiers;

  • discontinue commissions for specific products;

  • launch promotional commission campaigns;

  • modify payout eligibility requirements.

Any changes shall apply prospectively and shall not affect commissions already earned under the prior schedule.

10.2 Referral Attribution

Unless otherwise specified by WEDDUX, referral attribution is based on the last valid tracked Affiliate Link within the applicable attribution window.

If multiple Affiliates refer the same customer, WEDDUX's tracking records shall determine which Affiliate receives commission.

WEDDUX's determination regarding referral attribution shall be final.

11. PAYMENT OF COMMISSIONS

Eligible commissions are generally paid monthly.

Payments may be subject to:

  • minimum payout thresholds;

  • identity verification;

  • tax documentation;

  • fraud review;

  • payment processor requirements;

  • compliance review.

WEDDUX reserves the right to delay payments where additional verification is required.

11.1 Payment Methods

Payments may be issued through one or more approved payment providers, including:

  • bank transfer;

  • PayPal;

  • Stripe;

  • Wise;

  • Payoneer;

  • or any other payment method designated by WEDDUX.

Affiliates are responsible for ensuring their payment information is accurate and current.

11.2 Minimum Payout

WEDDUX may establish a minimum commission balance before issuing payment.

Any unpaid balance below the minimum threshold will roll over to the next payment period until the threshold is met.

11.3 Taxes

Affiliates are solely responsible for:

  • reporting income;

  • paying taxes;

  • obtaining required licences;

  • complying with tax laws applicable to their jurisdiction.

WEDDUX may require tax forms before issuing payments where required by law.

11.4 Refunds and Chargebacks

No commission is earned on:

  • refunded purchases;

  • cancelled subscriptions;

  • fraudulent transactions;

  • disputed payments;

  • reversed payments;

  • chargebacks.

If commission has already been paid on an ineligible transaction, WEDDUX may:

  • deduct the amount from future commissions;

  • offset future payments;

  • request repayment from the Affiliate.

11.5 Payment Errors

If you believe a payment has been made incorrectly, you must notify WEDDUX in writing within ninety (90) days of the applicable payment date.

After this period, commission records may be deemed final.

12. CONFIDENTIALITY

As an Affiliate, you may receive or have access to Confidential Information belonging to WEDDUX. You agree to protect such information with the highest degree of care and to use it only as necessary to participate in the WEDDUX Affiliate Program.

Confidential Information includes, but is not limited to:

  • Customer information

  • Prospect information

  • Business strategies

  • Sales methodologies

  • Marketing campaigns

  • Product roadmaps

  • Software source code

  • APIs

  • Internal documentation

  • Pricing strategies

  • Commission structures

  • Financial information

  • Technical architecture

  • Security procedures

  • Login credentials

  • Non-public product features

  • Beta products

  • Internal communications

  • Supplier information

  • Vendor information

  • Training materials

  • Any information designated as confidential by WEDDUX

Confidential Information does not include information that:

  • Becomes publicly available through no fault of the Affiliate;

  • Was lawfully known by the Affiliate prior to disclosure by WEDDUX;

  • Is lawfully received from a third party without confidentiality restrictions; or

  • Is independently developed without using WEDDUX Confidential Information.

You agree that you will not:

  • disclose Confidential Information to any third party;

  • copy Confidential Information except as necessary for authorised purposes;

  • sell or license Confidential Information;

  • use Confidential Information for personal benefit or the benefit of another business;

  • reverse engineer any confidential systems or technologies.

Upon termination of this Agreement or upon request by WEDDUX, you must immediately cease using and permanently delete or return all Confidential Information in your possession, including all copies.

The obligations contained in this Section survive termination of this Agreement.

13. INTELLECTUAL PROPERTY

All intellectual property rights in and to the WEDDUX platform, products, services, software, content, and Brand Assets remain the exclusive property of WEDDUX LLC or its licensors.

Nothing in this Agreement transfers ownership of any intellectual property to you.

Except for the limited licence expressly granted under this Agreement, no rights are granted by implication, estoppel, or otherwise.

13.1 WEDDUX Brand Assets

Subject to your compliance with this Agreement, WEDDUX grants you a limited, non-exclusive, non-transferable, revocable, worldwide licence to use approved WEDDUX Brand Assets solely for the purpose of promoting WEDDUX through the Affiliate Program.

This licence automatically terminates upon the termination of your participation in the Program.

13.2 WEDDUX Trademarks

The WEDDUX trademarks include, without limitation:

  • WEDDUX®

  • WEDDUX AI™

  • WEDDUX CRM™

  • WEDDUX Marketplace™

  • WEDDUX Academy™

  • WEDDUX Models™

  • WEDDUX Voice™

  • WEDDUX Chat™

  • WEDDUX Mobile™

  • WEDDUX Websites™

  • WEDDUX Automations™

  • The WEDDUX "W" logo

  • Any future trademarks, logos, service marks, slogans, icons, trade dress, or brand identifiers adopted or used by WEDDUX.

Nothing in this Agreement grants ownership of these marks to the Affiliate.

13.3 Brand Usage Requirements

You agree to:

  • Use only official WEDDUX logos and marketing materials.

  • Follow WEDDUX Brand Guidelines.

  • Use trademarks only as authorised.

  • Maintain the integrity of all WEDDUX Brand Assets.

  • Immediately cease use of any Brand Assets upon request.

You may not:

  • alter or distort WEDDUX logos;

  • remove copyright notices;

  • create derivative logos;

  • register confusingly similar trademarks or domain names;

  • use WEDDUX branding in a misleading manner.

13.4 Domain Names and Social Media

Without prior written consent, you may not:

  • register domain names incorporating "Weddux" or confusingly similar variations;

  • create social media profiles that impersonate WEDDUX;

  • purchase paid search advertisements using WEDDUX trademarks in a misleading manner;

  • represent yourself as an official WEDDUX representative.

14. AFFILIATE CONTENT

You retain ownership of the original content you create.

However, by participating in the Program, you grant WEDDUX a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable licence to:

  • display;

  • reproduce;

  • distribute;

  • publish;

  • adapt;

  • translate;

  • edit;

  • modify;

  • create derivative works from;

  • publicly perform; and

  • publicly display

your Affiliate Content for purposes related to the promotion, operation, improvement, and marketing of WEDDUX.

This licence applies to content voluntarily created or shared in connection with the Affiliate Program, including:

  • videos;

  • tutorials;

  • testimonials;

  • blog articles;

  • webinars;

  • podcasts;

  • case studies;

  • conference presentations;

  • interviews;

  • social media content;

  • educational materials.

14.1 AI Training and Product Improvement

To the extent permitted by applicable law, you acknowledge and agree that WEDDUX may use Affiliate Content to:

  • improve its services;

  • develop new features;

  • train artificial intelligence systems;

  • enhance machine learning models;

  • create educational materials;

  • improve customer support resources.

WEDDUX will not sell your Affiliate Content as a standalone product without your separate written consent.

15. USER-GENERATED CONTENT

If you upload, submit, or publish any content through WEDDUX systems, you represent and warrant that:

  • you own or have all necessary rights to the content;

  • the content does not infringe the rights of any third party;

  • the content complies with applicable laws;

  • the content does not contain malicious code or harmful software.

WEDDUX reserves the right, but not the obligation, to remove or restrict access to any content that it reasonably believes violates this Agreement or applicable law.

16. PRIVACY AND DATA PROTECTION

Each party shall comply with all applicable data protection and privacy laws.

Where you collect, process, store, or transmit personal data in connection with the Program, you agree to:

  • implement appropriate technical and organisational safeguards;

  • process personal data lawfully;

  • maintain reasonable security measures;

  • notify WEDDUX promptly of any actual or suspected data breach affecting WEDDUX or its customers;

  • cooperate with WEDDUX in responding to any security incident.

You shall not collect or use personal data obtained through the Program for any purpose unrelated to your authorised participation in the Program.

17. ACCOUNT SECURITY

You are solely responsible for maintaining the confidentiality of your Affiliate Account credentials.

You agree to:

  • create strong passwords;

  • enable multi-factor authentication where available;

  • promptly notify WEDDUX of any unauthorised access or suspected compromise;

  • refrain from sharing your login credentials with any unauthorised person.

Any activity occurring through your Affiliate Account shall be deemed authorised by you unless proven otherwise.

18. OWNERSHIP OF CUSTOMER RELATIONSHIPS

Nothing in this Agreement grants the Affiliate ownership of WEDDUX customers.

All customer accounts, customer data, subscription records, billing relationships, and platform accounts remain the exclusive property of WEDDUX.

Affiliates shall not represent to customers that they own or control the WEDDUX platform or customer accounts unless separately authorised under a written reseller, white-label, or agency agreement.

19. TERM OF THIS AGREEMENT

This Agreement becomes effective on the earlier of:

  • the date WEDDUX approves your application to the Affiliate Program;

  • the date you accept this Agreement electronically;

  • the date you begin promoting WEDDUX through your Affiliate Link; or

  • the date you receive any Affiliate Commission.

This Agreement remains in effect until terminated in accordance with its terms.

20. TERMINATION

Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.

Unless otherwise specified by WEDDUX, termination without cause will become effective thirty (30) days after notice is provided.

Termination does not relieve either party of obligations that accrued before the effective date of termination.

20.1 Immediate Termination by WEDDUX

WEDDUX may immediately suspend or terminate your participation in the Affiliate Program without prior notice if you:

  • violate this Agreement;

  • violate any WEDDUX policy;

  • engage in fraudulent activity;

  • misuse WEDDUX intellectual property;

  • violate applicable law;

  • submit false information;

  • generate fraudulent referrals;

  • engage in deceptive marketing;

  • harm the reputation or goodwill of WEDDUX;

  • infringe the rights of any third party;

  • fail to cooperate with a compliance investigation.

Termination under this Section shall be considered termination for cause.

20.2 Suspension

Instead of terminating your participation, WEDDUX may suspend your Affiliate Account while investigating suspected violations.

During suspension, WEDDUX may:

  • disable your Affiliate Link;

  • pause commission payments;

  • restrict dashboard access;

  • remove promotional materials;

  • request additional documentation;

  • conduct compliance reviews.

Suspension does not waive any rights of WEDDUX under this Agreement.

21. EFFECT OF TERMINATION

Upon termination of this Agreement:

  • your licence to use WEDDUX Brand Assets immediately ends;

  • you must stop using all Affiliate Links;

  • you must remove WEDDUX logos and branding from your websites, social media accounts, advertisements, and promotional materials;

  • you must discontinue representing yourself as a WEDDUX Affiliate;

  • you must return or permanently delete Confidential Information belonging to WEDDUX;

  • any unpaid commissions shall be handled in accordance with this Agreement.

Termination does not affect rights or remedies that accrued prior to termination.

21.1 Forfeiture of Commissions

If your participation is terminated for cause, WEDDUX may, to the fullest extent permitted by law:

  • cancel unpaid commissions;

  • recover commissions previously paid on fraudulent or ineligible referrals;

  • offset amounts owed against future payments;

  • permanently disqualify you from future participation in the Program.

Fraudulent or improperly obtained commissions are not earned commissions.

22. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless WEDDUX LLC, its affiliates, officers, directors, employees, contractors, licensors, successors, and assigns from and against any and all claims, demands, actions, proceedings, liabilities, damages, judgments, losses, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • your participation in the Affiliate Program;

  • your breach of this Agreement;

  • your negligence or wilful misconduct;

  • your violation of any applicable law or regulation;

  • your marketing activities;

  • your infringement or alleged infringement of any intellectual property or other rights of a third party;

  • your collection, processing, storage, or disclosure of personal data;

  • any content you create or distribute in connection with the Program.

This indemnification obligation survives termination of this Agreement.

23. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law:

WEDDUX shall not be liable for any:

  • indirect damages;

  • incidental damages;

  • consequential damages;

  • exemplary damages;

  • punitive damages;

  • special damages;

  • loss of profits;

  • loss of business opportunities;

  • loss of goodwill;

  • loss of data;

  • business interruption.

Regardless of the legal theory asserted, WEDDUX's total aggregate liability arising out of or relating to this Agreement shall not exceed the total commissions actually paid to you by WEDDUX during the three (3) calendar months immediately preceding the event giving rise to the claim.

Nothing in this Agreement excludes liability that cannot be excluded under applicable law.

24. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles.

25. DISPUTE RESOLUTION

The parties agree to attempt in good faith to resolve any dispute arising out of or relating to this Agreement through informal negotiations.

If the dispute cannot be resolved within thirty (30) days, either party may submit the dispute to binding arbitration.

Unless otherwise required by applicable law, arbitration shall:

  • be conducted in the State of Wyoming, United States;

  • be administered by a nationally recognised arbitration provider;

  • be conducted in the English language;

  • be governed by applicable arbitration rules in effect at the time the claim is filed.

The arbitrator's decision shall be final and binding upon both parties.

Judgment upon the arbitration award may be entered in any court having jurisdiction.

25.1 Class Action Waiver

To the fullest extent permitted by law, you agree that any claim against WEDDUX shall be brought solely in your individual capacity.

You waive any right to participate in:

  • class actions;

  • representative actions;

  • collective proceedings;

  • consolidated proceedings.

Each party waives the right to trial by jury where such waiver is legally enforceable.

26. FORCE MAJEURE

Neither party shall be liable for any delay or failure to perform its obligations under this Agreement due to events beyond its reasonable control, including but not limited to:

  • natural disasters;

  • floods;

  • earthquakes;

  • fires;

  • epidemics or pandemics;

  • war;

  • terrorism;

  • civil unrest;

  • labour disputes;

  • governmental actions;

  • internet outages;

  • failures of telecommunications providers;

  • cyberattacks;

  • failures of third-party hosting or cloud service providers.

The affected party shall use commercially reasonable efforts to resume performance as soon as practicable.

27. GENERAL PROVISIONS

27.1 Entire Agreement

This Agreement, together with the WEDDUX Terms of Service, Privacy Policy, Affiliate Program Policies, Brand Guidelines, Commission Policy, and any other documents expressly incorporated by reference, constitutes the entire agreement between the parties concerning the WEDDUX Affiliate Program.

27.2 Amendments

WEDDUX may modify this Agreement from time to time.

Material changes will be posted on the WEDDUX website or otherwise communicated to Affiliates.

Your continued participation in the Program after such changes become effective constitutes acceptance of the revised Agreement.

27.3 Severability

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

27.4 No Waiver

Failure by WEDDUX to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.

27.5 Assignment

You may not assign, transfer, delegate, or sublicense your rights or obligations under this Agreement without the prior written consent of WEDDUX.

WEDDUX may assign this Agreement, in whole or in part, to an affiliate, successor, purchaser, or other entity in connection with a merger, acquisition, corporate reorganisation, or sale of assets.

27.6 Survival

The following provisions survive termination or expiration of this Agreement:

  • Confidentiality

  • Intellectual Property

  • Affiliate Content Licence

  • Payment Obligations

  • Indemnification

  • Limitation of Liability

  • Governing Law

  • Dispute Resolution

  • General Provisions

  • Any other provisions which by their nature are intended to survive.

27.7 Electronic Acceptance

You acknowledge and agree that clicking "I Agree," "Join the WEDDUX Affiliate Program," creating an Affiliate Account, or using your Affiliate Link constitutes your electronic signature and creates a legally binding agreement between you and WEDDUX LLC.

Electronic records and signatures shall have the same force and effect as handwritten signatures to the fullest extent permitted by applicable law.

By applying to, enrolling in, or participating in the WEDDUX Affiliate Program, you acknowledge that:

  • You have read and understood this Affiliate Program Agreement.

  • You agree to comply with all terms and conditions contained herein.

  • You agree to the WEDDUX Terms of Service, Privacy Policy, Affiliate Program Policies, and other applicable policies.

  • You understand that participation in the Program is subject to ongoing compliance with this Agreement.

  • You acknowledge that WEDDUX may modify this Agreement from time to time and that continued participation constitutes acceptance of such modifications.
